These Terms and Conditions (the “Terms”) govern your access to and use of potatoeaterproductions.com (the “Site”) and any related services provided by Potato Eater Productions LLC, a Florida limited liability company (“Potato Eater Productions,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Eligibility

The Site is intended for use by individuals at least eighteen (18) years of age and capable of forming a legally binding contract under applicable law. By using the Site, you represent and warrant that you meet this requirement.

2. The Site and Its Contents

All content on the Site — including text, graphics, logos, images, videos, designs, layout, code, and any other material (collectively, the “Content”) — is owned by or licensed to Potato Eater Productions and is protected by United States and international intellectual-property laws. You may view and use the Site for your personal, non-commercial purposes only. You may not reproduce, modify, distribute, publicly display or perform, create derivative works of, sell, license, or otherwise exploit any part of the Content without our prior written consent, except as expressly permitted by these Terms or by applicable law (such as fair use).

Trademarks. “Potato Eater Productions,” the Potato Eater Productions logo, and other marks displayed on the Site are trademarks or service marks of Potato Eater Productions LLC. Other names, logos, and marks displayed on the Site (including titles of films, third-party properties, and other identifiers) are the property of their respective owners and are used for identification purposes only.

3. Submissions

Any material you submit to Potato Eater Productions — including scripts, screenplays, treatments, pitches, reels, audiovisual works, or other creative material — is governed by our Submission Release and Agreement, available at /submission-release.html. By submitting any such material, you affirmatively acknowledge that you have read, understood, and agree to be bound by the Submission Release and Agreement, in addition to these Terms.

Do not submit material to Potato Eater Productions if you have not read and do not agree to the Submission Release and Agreement.

4. Acceptable Use

You agree not to:

  • use the Site or any submission process for any unlawful, infringing, harmful, fraudulent, deceptive, or abusive purpose;
  • attempt to gain unauthorized access to any portion of the Site, its hosting infrastructure, or any related systems or networks;
  • introduce viruses, malware, ransomware, worms, trojans, or any other malicious code or material;
  • interfere with, disrupt, or impose an unreasonable load on the operation of the Site;
  • harvest, scrape, mirror, or otherwise extract data from the Site by automated or manual means without our prior written consent;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party’s use and enjoyment of the Site;
  • violate any applicable local, state, federal, or international law or regulation.

5. Third-Party Sites and Services

The Site contains links to third-party websites and services, including IMDb, project sites such as mickskylark.com, and others. These are provided for your convenience. Potato Eater Productions does not control, endorse, or assume responsibility for any third-party site or service. Your use of any third-party site or service is at your own risk and subject to its own terms and policies.

6. Disclaimers

THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION PROVIDED THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, POTATO EATER PRODUCTIONS DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. POTATO EATER PRODUCTIONS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

NOTHING ON THE SITE CONSTITUTES LEGAL, FINANCIAL, OR OTHER PROFESSIONAL ADVICE.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL POTATO EATER PRODUCTIONS, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR ANY SUBMISSION, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT POTATO EATER PRODUCTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, POTATO EATER PRODUCTIONS’ AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, the foregoing exclusions and limitations shall apply to the maximum extent permitted by applicable law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Potato Eater Productions, its affiliates, and their respective officers, members, managers, employees, agents, contractors, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Site; (b) any material you submit; (c) your breach of these Terms or the Submission Release and Agreement; or (d) your violation of any law or the rights of any third party.

9. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of such courts and waive any objection to venue therein.

10. Modifications

We may modify these Terms at any time. When we do, we will revise the “Effective Date” above and post the updated Terms on the Site. Material changes will be highlighted as reasonably appropriate. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

11. Termination

We may suspend or terminate your access to the Site at any time, with or without cause and with or without notice. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation intellectual-property provisions, disclaimers, limitations of liability, indemnification, and governing law.

12. Severability; Entire Agreement; No Waiver

If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy and Submission Release and Agreement, constitute the entire agreement between you and Potato Eater Productions concerning the Site and supersede all prior or contemporaneous communications. A failure to enforce any provision shall not constitute a waiver of that provision.
